Vayun Terms

These Terms govern access to and use of Vayun, including its AI assistant platform, WhatsApp-connected workflows, website chat, lead capture, booking, knowledge-base, beta access, integrations, and support features.

Important: These Terms are written for Vayun’s MVP and beta-stage service. Vayun is operated by NEBULIX LABS PRIVATE LIMITED, an Indian private limited company. Registered-office and related business details may be updated in these Terms as they become available for publication.

Agreement and acceptance

These Terms of Service (“Terms”) govern your access to and use of Vayun, including the website, dashboard, AI assistant features, embeddable chat widgets, WhatsApp integrations, booking flows, knowledge-base tools, APIs, documentation, support channels, and any related services we provide (together, the “Service”).

By signing up, accessing the Service, connecting an integration, submitting information, purchasing or using a beta plan, clicking to accept, or otherwise using Vayun, you agree to be bound by these Terms and by our Privacy Policy.

If you use Vayun on behalf of a business, clinic, consultant practice, organisation, or other entity, you represent that you have authority to bind that entity. In that case, “you” and “Client” also refer to that entity.

What Vayun is

Vayun is an AI-enabled business software platform that helps businesses respond to messages, answer questions, capture leads, support bookings, and automate customer-facing conversations across WhatsApp, websites, and related digital channels.

The Service may include a dashboard, website chat widget, public chat pages, booking pages, WhatsApp Business Platform integrations, calendar features, knowledge-base upload and retrieval tools, AI-generated responses, lead capture workflows, payment-assisted booking workflows, analytics, and related support materials.

The exact features available to you may depend on your plan, beta access status, integrations, configuration, technical availability, and third-party provider limitations.

Beta and MVP-stage service

Vayun is currently in an MVP and beta-stage operating period. Features may be experimental, incomplete, limited, changed, paused, removed, interrupted, or discontinued as the product evolves.

Beta features may not always work as expected. We may change limits, workflows, supported integrations, pricing, data retention, UI behaviour, or technical architecture as we learn from early users and improve the Service.

We will try to provide a useful and reliable service, but you understand that MVP and beta-stage software may contain bugs, downtime, inaccurate outputs, unstable integrations, and changing product behaviour.

Eligibility and accounts

You must be at least 18 years old and legally capable of entering into these Terms to use the Service.

You must provide accurate account, business, contact, and integration information and keep it up to date.

You are responsible for all activity under your account, workspace, connected integrations, and team access. You must protect your login credentials, API keys, tokens, integration credentials, and administrative access.

You must not share access in a way that bypasses intended product limits, security controls, payment requirements, usage restrictions, or account ownership rules.

We may suspend, restrict, or terminate access if we reasonably believe an account is compromised, inactive, abusive, unlawful, risky, unpaid, or in breach of these Terms.

Customer data and permissions

“Customer Data” means data, files, prompts, messages, contacts, WhatsApp identifiers, appointments, booking details, uploaded documents, knowledge-base material, instructions, configuration, business information, end-user messages, and other content that you or your end users submit to or process through Vayun.

You retain responsibility for Customer Data. You represent and warrant that you have all rights, permissions, notices, lawful bases, and consents needed to use Customer Data with Vayun and to allow Vayun and its service providers to process that Customer Data for the purposes of operating the Service.

You grant Vayun a limited, non-exclusive right to host, copy, transmit, store, scan, index, transform, summarise, embed, retrieve, display, and otherwise process Customer Data solely as reasonably necessary to provide, secure, maintain, support, troubleshoot, and improve the Service in line with these Terms and our Privacy Policy.

You are responsible for ensuring that Customer Data does not violate applicable law, third-party rights, platform policies, confidentiality obligations, data protection obligations, or these Terms.

Client and end-user responsibility

Where you use Vayun to communicate with your own customers, patients, leads, users, prospects, or other end users, you are responsible for the relationship with those end users and for the purpose, content, timing, and legality of your communications.

You are responsible for providing appropriate notices, obtaining required consents, maintaining lawful contact lists, honouring opt-out requests, and ensuring that messages sent through or outside Vayun comply with applicable laws and messaging platform rules.

Vayun may provide tools to help collect, record, or manage consent and opt-out preferences. However, you remain responsible for ensuring that your use of those tools is accurate, lawful, and complete.

WhatsApp and messaging rules

If you connect or use WhatsApp, Meta, or similar messaging channels through Vayun, you are responsible for complying with all applicable messaging laws, WhatsApp Business Platform terms, Meta policies, template rules, consent requirements, opt-in rules, opt-out rules, and account-quality requirements.

You must not use Vayun to send spam, unsolicited marketing, deceptive messages, abusive communications, illegal communications, or messages to users who have not provided the required consent.

If consent status is unknown, Vayun may ask for confirmation during an active user-initiated WhatsApp conversation before enabling follow-up or reminder messages outside the applicable 24-hour customer service window. Follow-up or outbound messages sent through Vayun should only be sent where permitted by applicable messaging rules, including within an active user-initiated WhatsApp 24-hour customer service window as permitted by WhatsApp policies or, outside that window, after user consent has been requested and confirmed through Vayun’s in-chat consent flow during a user-initiated conversation, recorded by Vayun, and any required WhatsApp approved message template requirements are satisfied.

If your WhatsApp Business Account, phone number, message templates, business portfolio, or Meta account is restricted, rejected, disabled, rate-limited, reviewed, or otherwise affected by Meta or another third-party platform, Vayun is not responsible for that third-party action.

Acceptable use

You must not, and must not allow others to, use Vayun to:

  • break the law or violate another person’s rights;
  • upload, submit, or transmit content you do not have the right to use;
  • send unlawful spam, deceptive messages, unauthorised marketing communications, or abusive communications;
  • impersonate another person, misrepresent your identity, or misrepresent the source, purpose, or nature of content;
  • upload malicious code, attempt unauthorised access, interfere with service security, probe systems, scrape data, or disrupt service availability;
  • reverse engineer, copy, extract, or misuse the Service except where non-waivable law expressly permits it;
  • use the Service for emergency services, diagnosis, treatment decisions, life-critical workflows, regulated decisions, or other high-risk activities unless Vayun has expressly agreed in writing to support that use case;
  • use the Service in a way that infringes intellectual property, privacy, publicity, confidentiality, contractual, or data protection rights; or
  • use the Service to build or train a competing product by extracting model behaviour, prompts, output patterns, workflows, design, internal features, or service materials at scale.

AI outputs and review

Vayun includes AI-assisted features. AI outputs may be incomplete, inaccurate, biased, delayed, outdated, hallucinated, or unsuitable for your specific situation.

You are responsible for reviewing AI outputs before relying on them, publishing them, sending them to end users, using them in business decisions, or allowing automated workflows to act on them.

You must not treat AI output as legal, medical, financial, tax, compliance, emergency, or other professional advice. Vayun’s current MVP should not be used for emergency services, diagnosis, treatment decisions, regulated healthcare workflows, or other high-risk use cases without a separate written agreement expressly allowing that use.

Healthcare and sensitive data

The Service can technically process sensitive or health-related information because it supports clinic-style onboarding, appointment booking, free-text chat, uploads, and contact records.

Unless and until Vayun publishes a dedicated healthcare or regulated-data offering, you must not use the Service for emergency care, diagnosis, treatment decisions, or workflows requiring specific contractual, technical, or regulatory commitments not expressly offered by Vayun.

You are responsible for deciding whether your use of Vayun is suitable for your sector, internal policies, professional obligations, and applicable laws.

Third-party services and integrations

Certain features depend on third-party services, platforms, and providers. These may include AI providers, cloud infrastructure, database systems, storage systems, vector-search providers, authentication providers, payment providers, WhatsApp/Meta services, Shopify, calendar providers, email providers, analytics/logging providers, security tooling, and other integrations selected or enabled by you or Vayun.

Third-party services may have their own terms, policies, data practices, limits, pricing, outages, review processes, account restrictions, and technical requirements. Your use of integrated features may depend on your compliance with those third-party rules.

Vayun is not responsible for third-party services, outages, delays, errors, acts, omissions, pricing changes, policy changes, data handling, approvals, rejections, account restrictions, or service discontinuation by those providers.

Fees, beta pricing, billing, and refunds

During the MVP and beta period, Vayun may be offered for free, under limited beta pricing, under founder-led pilot pricing, or under custom early-access arrangements. Beta pricing is not guaranteed to remain available after general availability.

If you purchase a paid plan, pilot, paid feature, paid setup, or paid beta access, you agree to pay the applicable fees, taxes, and charges communicated at checkout, in writing, by invoice, in an order form, or through another agreed payment flow.

Unless we state otherwise in writing, fees are prepaid, non-transferable, exclusive of taxes, and non-refundable except where required by law or where Vayun approves a refund case by case.

Vayun may change pricing, usage limits, plan structure, free access, beta offers, or paid features for future periods by giving reasonable notice where practical. Continued use after a pricing or plan change may require acceptance of the updated commercial terms.

Billing, cancellation, and refund requests during the MVP period may be sent to [email protected].

Data retention and deletion

During the MVP and beta testing period, personal data may be retained for up to 90 days to support product testing, debugging, service improvement, security review, and client support, unless a longer period is required by law, dispute handling, backup recovery, or a client-approved operational need.

After general availability, standard retention periods may be reduced. For example, chat and messaging data may be retained for around 30 days by default unless the client requests a longer retention period, configures a different retention setting, or the data is needed for service operation, legal obligations, security, dispute handling, or support.

Some deleted data may remain temporarily in backups, logs, caches, or archival systems until normal backup rotation, security, legal, or operational retention periods expire.

Security and availability

We use technical and organisational measures intended to protect the Service and Customer Data, including access controls, authentication controls, ownership checks, upload restrictions, webhook verification in certain flows, security monitoring, and restricted internal administrative access.

No internet service is perfectly secure, error-free, or continuously available. We do not guarantee that the Service will be uninterrupted, immune from attack, free of bugs, or available at all times.

You are responsible for securing your account, devices, networks, credentials, third-party accounts, connected integrations, and internal team access.

Intellectual property

Vayun and its software, interface, workflows, designs, dashboards, prompts, templates, documentation, service materials, branding, logos, trade names, and related technology are owned by Vayun or its licensors and are protected by applicable intellectual property laws.

Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not copy, distribute, modify, resell, sublicense, create derivative works from, or commercially exploit the Service except as expressly allowed by these Terms or by non-waivable law.

You retain ownership of Customer Data, subject to the limited processing rights granted to Vayun under these Terms and the Privacy Policy.

Feedback

If you send feedback, ideas, suggestions, feature requests, bug reports, workflows, designs, or other recommendations to Vayun, you agree that Vayun may use them without restriction, attribution, approval, or compensation to you.

Confidentiality

Each party may receive confidential information from the other. Each party should protect confidential information using reasonable care and use it only for purposes related to the Service, unless disclosure is required by law or authorised by the disclosing party.

Confidential information does not include information that is publicly available, independently developed without use of confidential information, lawfully received from a third party, or already known without confidentiality obligations.

Suspension and termination

We may suspend, limit, or terminate your access to the Service if we reasonably believe you have breached these Terms, created legal or security risk, failed to pay applicable fees, used the Service abusively, violated platform policies, caused harm to Vayun or others, or used the Service in a way that may expose Vayun, clients, end users, systems, or third parties to risk.

You may stop using the Service at any time. Account deletion and data deletion may be subject to product workflows, identity verification, grace periods, backup retention, legal retention, dispute handling, and operational requirements.

Sections relating to customer responsibility, fees owed, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, dispute resolution, and other provisions that by nature should survive will survive termination.

Disclaimers

To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Vayun disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, and suitability for any specific workflow, regulation, industry, or business need.

Vayun does not guarantee that the Service will be uninterrupted, error-free, secure, always available, approved by third-party platforms, compatible with every integration, or suitable for every use case.

You are responsible for determining whether the Service meets your needs, legal obligations, industry requirements, platform obligations, and internal policies.

Limitation of liability

To the maximum extent permitted by law, Vayun will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, customers, business opportunity, reputation, or expected savings.

To the maximum extent permitted by law, Vayun’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Vayun for the Service during the 12 months before the event giving rise to the claim; or (b) INR 10,000.

The limitations above apply whether the claim is based on contract, tort, negligence, strict liability, statute, platform failure, data issue, AI output, integration issue, or any other legal theory, even if Vayun has been advised of the possibility of such damages.

Indemnity

You will defend, indemnify, and hold harmless Vayun and its affiliates, officers, employees, contractors, and service providers from and against claims, losses, liabilities, damages, penalties, costs, and expenses, including reasonable legal fees, arising out of or related to:

  • your Customer Data;
  • your use or misuse of the Service;
  • your breach of these Terms;
  • your violation of law, privacy obligations, data protection obligations, messaging rules, or third-party platform policies;
  • your communications with end users; or
  • your violation of third-party rights.

Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles.

Subject to any non-waivable rights available under applicable law, courts located in Hyderabad, Telangana, India will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service.

Before filing a claim, both parties should make a reasonable good-faith effort to resolve the dispute informally by contacting [email protected].

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the website, product, dashboard, email, or another reasonable method.

Your continued use of the Service after updated Terms take effect means you accept the updated Terms. If you do not agree to the updated Terms, you should stop using the Service.
